Terms of Service

1. Agreement and Scope

These Terms of Service govern access to and use of Zero Branch websites, applications, APIs, scans, reports, and related services.

By creating an account, connecting repositories, or using the service, you agree to these Terms.

If you use the service on behalf of an organization, you represent and warrant that you have authority to bind that organization.

2. Eligibility and Account Security

You must be legally able to enter binding contracts and comply with all applicable laws.

You are responsible for maintaining account credential security, connector permissions, and all activity under your workspace.

3. Service Description and Permitted Use

Zero Branch provides repository security scanning, risk visualization, findings analysis, and report-generation workflows.

Subject to these Terms and your plan, we grant you a limited, revocable, non-transferable, non-sublicensable right to use the service for lawful internal business purposes.

• Do not reverse engineer, resell, rent, mirror, or create unauthorized derivative services from the platform.
• Do not bypass technical controls, feature gates, rate limits, or workspace permissions.

4. Customer Content and Repository Authorization

You retain ownership of repositories, source code, findings context you provide, and related customer content.

You grant Zero Branch a limited license to host, process, transmit, and analyze customer content solely to provide, secure, and improve the service.

You represent and warrant that you are authorized to connect and scan all repositories submitted to the platform, including private repositories.

5. Acceptable Use Restrictions

• Do not scan private repositories you are not authorized to access.
• Do not upload, connect, or process content that violates intellectual property, confidentiality, privacy, or other legal rights.
• Do not attempt to disrupt service operations, interfere with scanning workers, or degrade platform reliability.
• Do not use the service to distribute malware, exploit vulnerabilities unlawfully, or facilitate unauthorized access.
• Do not use automated means to scrape or harvest service data beyond documented and authorized interfaces.

6. Plans, Billing, and Renewals

Paid plans renew automatically unless canceled before the applicable renewal date. Fees are generally non-refundable except where required by law or expressly agreed in writing.

Plan entitlements, usage thresholds, and features vary by plan tier.

You are responsible for applicable taxes, duties, and governmental charges unless otherwise stated.

We may update plan packaging or pricing prospectively with notice.

7. Usage Limits and Operational Safeguards

To protect platform stability and security, technical and operational limits apply to scan volume, queue behavior, repository size, file processing, API usage, and workspace membership.

• Burst controls and cooldown windows may apply during heavy or abusive traffic.
• Feature gating may apply based on plan level or workspace role.
• We may delay, throttle, or block requests that create security or reliability risk.

8. Third-Party Services and Integrations

The service depends on third-party providers for identity, billing, source-control integration, and vulnerability data. Their terms may apply independently.

Zero Branch is not responsible for third-party provider outages, policy changes, or API limitations outside our reasonable control.

9. Security and Shared Responsibility

We implement technical and organizational safeguards designed to protect service integrity and customer data.

You remain responsible for endpoint security, connector installation scope, repository configuration, secret hygiene, and internal incident response procedures.

10. Intellectual Property and Feedback

Except for customer content, Zero Branch and its licensors own all rights, title, and interest in the service, including software, models, branding, and documentation.

If you provide product feedback, suggestions, or enhancement ideas, you grant us a worldwide, royalty-free right to use and incorporate that feedback without obligation.

11. Suspension and Termination

We may suspend or terminate access if we reasonably believe your use violates these Terms, creates security risk, threatens platform operations, or is unlawful.

You may stop using the service at any time. Certain obligations, including payment, limitations of liability, indemnification, and legal terms, survive termination.

12. Disclaimers

The service is provided on an "as is" and "as available" basis to the maximum extent permitted by law.

Security findings, scores, and reports are decision-support outputs. They are not legal advice, compliance certification, or guarantees that vulnerabilities or misconfigurations do not exist.

13. Limitation of Liability

To the maximum extent permitted by law, Zero Branch and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities.

Aggregate liability for claims relating to the service is limited to amounts paid by you to Zero Branch for the service during the twelve months preceding the event giving rise to liability, unless a different limit is required by law or contract.

14. Indemnification

You agree to defend, indemnify, and hold harmless Zero Branch, its affiliates, and personnel from claims, liabilities, damages, and costs arising from your content, your use of the service, your violation of these Terms, or your violation of applicable law or third-party rights.

15. Export Controls and Sanctions

You may not use the service in violation of export control, sanctions, or trade laws. You represent that you are not prohibited from receiving the service under applicable laws.

16. Governing Law, Disputes, and Updates

These Terms are governed by Illinois law, subject to applicable legal requirements.

We may update these Terms from time to time. Updated Terms become effective when posted unless otherwise stated.
